T-Technologies announces plans to purchase 100% of shares in Cian, will post offer with price of 993.05 rubles per share

MOSCOW. Nov 6 (Interfax) - ICPJSC T-Technologies has announced plans to purchase up to 100% of shares in ICPJSC Cian .

T-Technologies said in a statement that it had submitted to the Central Bank of Russia a voluntary offer to Cian's shareholders to purchase their shares. The offer stipulates the purchase of up to 100% of shares in Cian at a price of 993.05 rubles per share, at a premium of 29.3% to market prices at the end of the main trading session on November 5.

T-Technologies is hoping to finance the deal without an additional share issue and complete it in the first quarter of 2027, after going through all of the necessary procedures and obtaining the necessary permissions.

"The voluntary offer from T-Technologies involves the purchase of at least 50% of ordinary shares posted by ICPJSC Cian," the statement says.

The voluntary offer from T-Technologies will be forwarded to Cian once it is reviewed by the Central Bank. Cian's shareholders will receive the offer once the company's board of directors approves the corresponding recommendations.

"We consider the premium to Cian's market price justified taking into account the accelerating revenue growth and high profitability of the business, as well as prospects for synergy in future joint operations. If the deal is signed, Cian will continue working independently within the overall development strategy of the T-Technologies group in the real estate segment. The company will retain its own brand and will develop business as a platform open to partnerships, managed by its current team," T-Technologies CEO Stanislav Bliznyuk is quoted as saying in the statement.

The deal will be a logical continuation of the group's strategy to develop specialized platforms, Bliznyuk said. T-Technologies is already building an automotive ecosystem on the basis of Auto.ru, he said. "We plan to approach development in the real estate segment in a similar way - to develop a platform in the interests of tenants, landlords, property sellers and buyers, partner banks, as well as developers, realtors and everyone whose business is in one way or another connected with real estate," he said.

The main shareholder of T-Technologies with a 41.4% stake is Vladimir Potanin's Interros.

According to its reporting for 6M 2026, Elbrus Capital founder Dmitry Kryukov, through controlled organizations, owns 37.5% of ICPJSC Cian. Another 8.14% is held by LBVF Investments Ltd of Cian founder Dmitry Demin, and 7% by MM Asia Invest Ltd of former project head Maxim Melnikov. A total of 40% of Cian's shares are in free float.
