Centerenergoholding gets trusteeship of TGK-2 genco stake
MOSCOW. June 19 (Interfax) - Gazprom Energoholding's Centerenergoholding has now gained trusteeship of the federal 84.34% stake in the PJSC TGK-2 generating company, TGK-2 said in a disclosure.
The agreement was signed on June 18.
The Russian government had asked the Federal Property Management Agency to place the federal stake in TGK-2 under the trusteeship of Centerenergoholding. The trustee agreement will be valid for one year, after which it will be extended automatically in the same terms unless one of the parties requests otherwise.
Also, Centerenergoholding will have until July 20, 2026 to submit a financial recovery plan for TGK-2 to the government and until April 30, 2027 to submit proposals for the further disposal of the company's shares.
The property agency has been the main shareholder in TGK-2 since 2023 with 84.34%. Centerenergoholding in October 2024 received trusteeship over the shares until June 30, 2025.
The head of Gazprom Energoholding, Denis Fyodorov, told reporters in September that GEH was awaiting a decision from the Russian government on whether or not to extend the TGK-2 trusteeship. "We're helping our colleagues for now, working together, nothing has changed for us," he said.
TGK-2 will draft its strategy after the financial recovery plan has been approved and management of shares determined, the company said in its draft annual report.
The report says that the trustee of TGK's shares submitted the company's financial recovery plan to the Russian government in April 2025. In October 2025, a short-term plan for 2026 was also submitted to the government. Both documents were under review as of the date of the draft report, at end-May 2026.
Asked during the recent St. Petersburg International Economic Forum whether Gazprom Energoholding itself was interested in buying TGK-2, Fyodorov said that "in terms of financial rehabilitation, [this is] one of the paths we are proposing," meaning the company's entry into the share capital. "It's not that we will acquire it. [In the proposals] we will become a shareholder. We as Gazprom are considering only a controlling stake," Fyodorov said.
The financial recovery plan has not yet been approved; it has been partially agreed and partially not yet agreed, he said. The situation is expected to be discussed again in mid-June.
