Founder of Siberian Business Union Holding transfers stake in Russia's Azot Group to his sister

KEMEROVO. March 14 (Interfax) - Svetlana Rybalchenko has acquired 100% of JSC Azot Invest, which owns 40% of JSC Azot, according to Azot Invest's 2024 financial report.

Previously, Azot Invest was owned by Mikhail Fedayev, the founder of the Siberian Business Union (SBU) holding, who held a stake of over 99%. As reported, Rybalchenko is his sister. This information is also confirmed in the report.

"Mikhail Yuryevich Fedayev is the brother of Svetlana Yuryevna Rybalchenko," the document said. Rybalchenko received 8,267,810 shares of Azot Invest, it said. As of December 31, 2024, Fedayev owned over 99% of the company.

In 2024, Azot Invest accrued 3.571 billion rubles in dividends to Fedayev, with 3.058 billion rubles paid out. Rybalchenko was accrued 48,000 rubles in dividends.

The beneficiary of Azot is Roman Trotsenko.

As reported, the Federal Antimonopoly Service (FAS) received a petition for the acquisition of 99.9987% of the shares of JSC Azot Invest in August 2024. The name of the legal entity that submitted the petition was not disclosed in the document.

JSC Azot Group includes JSC Azot (Kemerovo), Angarsk Nitrogen Fertilizer Plant LLC (Angarsk, Irkutsk region), JSC Meleuz Mineral Fertilizers (Meleuz, Bashkortostan), and JSC Ammoniy (Mendeleyevsk, Tatarstan). As reported, it is implementing an investment project to build a nitrogen fertilizer plant in the Khimprom special economic zone in Volgograd (through Volgograd Polymer LLC). The group's enterprises, along with mineral fertilizers, produce industrial-grade ammonium nitrate, caprolactam and methanol.
