Russia's TMH to become Rosatom's, Shishkarev's partner in Delo Group

MOSCOW. Dec 25 (Interfax) - Rosatom state corporation, founder of the Delo group of companies Sergei Shishkarev and JSC Transmashholding (TMH) have agreed to consolidate their logistic assets and create a joint company, RBC said, citing the parties to the deal.

At the first stage of the deal, TMH will acquire a 1% stake in the Delo Management Company from its founder and largest beneficiary, Shishkarev, who held a controlling 51% stake. Rosatom's share in the company will remain at 49%. Once the deal is completed, TMH will propose a candidate for the company's CEO.

The parties plan to finalize the deal to merge all their logistics assets, define the business model and establish a management system for the future company by the end of 2025. The parties also aim to attract new strategic or institutional investors to the company's capital in the future.

The amount and other terms of the deal will not be disclosed, RBC said.

"We confirm the deal," Rosatom told Interfax.

TMH and Delo Group declined to comment on this information to Interfax.

Rosatom intends to acquire a stake in Transmashholding, an Interfax source in the transport market said. At the same time, it is expected that TMH shareholders will receive Rosatom's stake in Delo Group, the source said.

The deal does not involve Rosatom exiting the capital of Delo Group, another source said. A representative from TMH will soon be appointed CEO of Delo Management Company, replacing Rosatom Business Development Director Ekaterina Lyakhova, the source said.

The Delo group of companies manages sea container terminals in the Azov-Black Sea, Baltic and Far Eastern basins, a network of railway container terminals, and a fleet of containers and fitting platform railcars. Founder Sergei Shishkarev owns 51% and 49% belongs to the Rosatom state corporation.

Delo Group's transport and logistics business includes intermodal container operator Transcontainer and the multimodal transport operator Ruscon, while the stevedoring business includes the DeloPorts holding and Global Ports, the leading operator of container terminals.
